Client Obligations
To enable us to deliver our services effectively, accurately, and on time, clients agree to the following obligations:
- Accuracy of Information: Provide accurate, complete, and up-to-date information, documents, and data required for the engagement. We are not responsible for errors arising from incorrect or incomplete information provided by the client.
- Timely Response: Respond promptly to our requests for documents, approvals, or clarifications. Delays in client response may impact service timelines, which shall not be attributed to us.
- Legal Compliance: Ensure that all activities, transactions, and information provided to us are lawful and compliant with applicable Indian laws and regulations.
- Authorised Representatives: Ensure that any individual interacting with us on your behalf has proper authority to do so. We shall not be liable for actions taken based on instructions from unauthorised persons.
- Credential Security: Safeguard any login credentials, OTPs, digital signatures, or access codes shared with you in connection with our services.
- Non-Misuse: Not use our services to conduct, facilitate, or conceal any unlawful, fraudulent, or deceptive activity.
Important: Providing false, misleading, or forged documents to us or to any government authority through us is a serious legal offence. Such actions may result in immediate termination of services and legal action.
Fees & Payment
Our professional fees are agreed upon prior to commencement of any engagement and specified in the service agreement, quotation, or invoice provided to you.

Note: We reserve the right to pause or suspend service delivery if outstanding invoices are not settled within agreed payment terms.
Nature of Professional Advice
All advice, recommendations, reports, and documents provided by Arka Associates are based on the information made available to us at the time of engagement and the laws, rules, and regulations in force as of that date.
- Our advice is specific to the facts and circumstances of your individual case and should not be generalised or applied to other situations without consulting us.
- We are not responsible for changes in law, regulations, or government policies occurring after the date of our advice that may affect the outcome of any filing or application.
- Approval of any application, licence, or registration by a government authority is at the sole discretion of that authority. We do not guarantee approvals, timelines, or outcomes from any regulatory body.
- Website content is for general information purposes only and does not constitute professional legal, financial, or tax advice.
Disclaimer: We do not guarantee any specific outcome, approval, loan sanction, or regulatory response. Government portals and authorities operate independently, and their decisions are outside our control.
Confidentiality
Both parties agree to maintain strict confidentiality with respect to all non-public information exchanged during the course of the engagement.
- We will not disclose your confidential business information, financial data, or personal details to any third party except as required for service delivery, required by law, or authorised by you in writing.
- You agree not to disclose our proprietary methodologies, templates, internal processes, or pricing structures to any competitor or third party.
- Confidentiality obligations survive the termination of any service agreement for a period of three (3) years.
Note: Disclosure of information to government portals, regulatory authorities, banks, and courts as part of service delivery does not constitute a breach of confidentiality.
Intellectual Property
All content published on the Arka Associates website — including text, graphics, logos, icons, images, layout designs, and software — is the intellectual property of Arka Associates and is protected under Indian copyright and trademark laws.
- You may not copy, reproduce, distribute, modify, or create derivative works from our website content without our express written permission.
- Documents, reports, business plans, DPRs, and CMA reports prepared by us for you remain our intellectual property until full payment is received. Upon payment, a non-exclusive licence to use the deliverable for its intended purpose is granted to you.
- You retain ownership of all documents, data, and information you provide to us. We do not claim any rights over your business information.
- Our brand name "Arka Associates," logo, and associated marks may not be used in any marketing material, social media, or publication without prior written consent.
Limitation of Liability
To the maximum extent permitted by applicable law, Arka Associates shall not be liable for any:
- Indirect, incidental, consequential, or punitive damages arising from the use of our services or website.
- Loss of profits, revenue, goodwill, data, or business opportunity, even if we have been advised of the possibility of such losses.
- Delays, rejections, or adverse decisions by government authorities, banks, or regulatory bodies regardless of the quality of documentation we prepared.
- Errors or omissions arising from incorrect, incomplete, or forged information provided by the client.
- Technical failures, server downtime, or data loss on third-party portals (MCA, GST, Income Tax, DGFT, etc.).

Our total aggregate liability in any case shall not exceed the total professional fees paid by you for the specific service giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Arka Associates, its directors, employees, agents, and advisors from and against any claims, liabilities, damages, penalties, fines, costs, and legal fees arising from:
- Your breach of any provision of these Terms of Service.
- Any false, misleading, or fraudulent information you have provided to us or to any government authority through us.
- Your violation of any applicable law, regulation, or third-party rights.
- Any actions taken by regulators or enforcement agencies arising from non-compliance on your part.
Termination of Services
Either party may terminate an ongoing service engagement by giving written notice as specified in the engagement letter, or in the absence of such provision, by giving 14 days' written notice.
- Termination by Client: You may terminate our services at any time with written notice. Fees for work already completed or in progress shall be payable in full and are non-refundable unless stated otherwise in the Refund Policy below.
- Termination by Us: We reserve the right to terminate services immediately if: (a) you provide false information; (b) you engage in illegal activity; (c) payment obligations are not met; (d) working conditions become unsafe or hostile.
- Effect of Termination: Upon termination, we will return your original documents (if any). Work-in-progress documents and deliverables will be shared only after full settlement of outstanding dues.
Note: Clauses relating to Confidentiality, Intellectual Property, Indemnification, Governing Law, and Limitation of Liability survive the termination of any engagement.
Refund Policy
We follow a transparent refund policy to ensure fair treatment of all clients. Refund eligibility depends on the stage of work and the nature of the service.

Refund requests must be submitted in writing to info@arkaassociates.com within 15 days of the triggering event. Approved refunds will be processed within 7–10 business days via the original payment method.
Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or relating to these Terms or any services provided by us shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.
Before initiating any legal proceedings, both parties agree to attempt good-faith resolution of the dispute through direct negotiation for a period of 30 days from the date of the dispute notice.
Arbitration: If a dispute cannot be resolved through negotiation, either party may elect to refer the matter to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being Hyderabad, Telangana.
Changes to These Terms
We reserve the right to revise these Terms of Service at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, for significant changes, notify active clients via email.
Your continued use of our website or services after any revision to these Terms constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically to stay informed of any changes.
